By accessing and using Struktural ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

What Struktural Provides

Struktural is an AI-powered low-code platform that enables you to:

• Generate complete applications from plain-language prompts
• Deploy applications in your own infrastructure via Docker containers
• Build with standardized, secure UI patterns
• Scale to unlimited users without per-seat licensing

Service Tiers

We offer the following service options:

• Open Source: Free self-hosted version with core features
• Enterprise: Managed deployment with dedicated support and SLAs

What We Don't Provide

Struktural does not:

• Host your application data or business logic
• Provide managed application runtime environments
• Offer traditional SaaS application hosting
• Store or process your end-user data

Your Responsibilities

Infrastructure Management

As a self-hosted platform user, you are responsible for:

• Deploying and maintaining Docker containers
• Managing database infrastructure and backups
• Ensuring security of your deployment environment
• Compliance with applicable data protection laws
• Scaling infrastructure to meet your needs

Application Usage

You must use generated applications responsibly:

• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Implement appropriate security measures
• Provide proper user privacy protections
• Maintain application availability and performance

Intellectual Property

Struktural's Intellectual Property

Struktural retains all rights to:

• The Struktural platform software and AI models
• Documentation, training materials, and support content
• Trademarks, logos, and brand elements
• Platform APIs and integration interfaces

Your Intellectual Property

You retain full ownership of:

• Applications you generate using Struktural
• Your business logic and data models
• Custom code and configurations
• Application data and user information

Generated Code

Code generated by Struktural's AI is provided to you under our standard license. You may modify, distribute, and use generated code according to your needs, subject to these Terms.

Payment Terms

Open Source Tier

The open-source version is free of charge with no payment obligations.

Enterprise Tier

For enterprise customers:

• Pricing is determined through custom quotes
• Payment terms are specified in your enterprise agreement
• Services are billed annually unless otherwise agreed
• Prices may be adjusted with 30 days notice

Refunds

Refunds are handled according to your specific service agreement. Open-source users have no payment obligations, and enterprise customers should refer to their contract terms.

Service Level and Availability

Open Source Tier

The open-source version is provided "as-is" without service level guarantees. Community support is available through documentation and community channels.

Enterprise Tier

Enterprise customers receive:

• 99.9% platform availability SLA
• Dedicated technical support
• Priority bug fixes and security updates
• Regular platform updates and improvements

Maintenance and Updates

We regularly maintain and improve the Struktural platform. Updates may include new features, security patches, and bug fixes. Enterprise customers receive managed updates, while open-source users handle updates manually.

Confidentiality

Your Confidential Information

Struktural does not access or store your application data. However, when you interact with our support or sales teams, we may receive:

• Technical information for troubleshooting
• Business requirements and use cases
• Contact and company information

Our Confidential Information

You must keep confidential:

• Platform source code and technical architecture
• Business strategies and pricing information
• Unannounced product features and roadmaps
• Internal processes and methodologies

Warranty Disclaimer

Struktural is provided "as-is" without warranties of any kind. We disclaim all warranties, whether express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of intellectual property rights
• Accuracy, reliability, or availability of the service
• Security or performance of generated applications

We do not guarantee that the service will meet your requirements or operate without interruption.

Limitation of Liability

Platform Liability

To the maximum extent permitted by law, Struktural's total liability for any claims arising from these Terms shall not exceed the amount you paid for the service in the 12 months preceding the claim.

Excluded Damages

We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Downtime or service interruptions
• Security breaches of your applications

Your Responsibility

You are solely responsible for damages arising from:

• Your deployment and infrastructure choices
• Application security vulnerabilities
• Non-compliance with applicable laws
• Improper use of generated applications

Termination

Termination by You

You may stop using Struktural at any time. No termination notice is required for the open-source version. Enterprise customers should follow the termination procedures in their agreement.

Termination by Struktural

We may terminate or suspend your access if you:

• Violate these Terms of Service
• Use the service for illegal purposes
• Attempt to compromise platform security
• Engage in fraudulent or harmful activities

Effect of Termination

Upon termination:

• Your right to use the service ends immediately
• Enterprise agreements specify post-termination obligations
• You retain ownership of your applications and data
• Outstanding payment obligations remain due

Governing Law and Dispute Resolution

Assignment
